Notice of 2024 WCA Annual General Meeting

Notice is hereby given that in accordance with Rule 7.1 of the Constitution of Wine Communicators of Australia Limited ABN 81 151 598 168, the Annual General Meeting (AGM) of the company will be held 20 November 2024 at Pernod Ricard Winemakers Sydney at 5.00pm AEDT. The meeting will also be available to attend virtually via Zoom technology.

  1. Welcome from the Chair
  2. Acceptance of apologies received and those tendered from the floor of the meeting
  3. Tendering of proxies to be used in any resolution conducted at the AGM
  4. To receive the minutes of the 2023 AGM held on 14th November 2023
  5. To receive the Annual Report of the Treasurer of Wine Communicators of Australia Ltd, the financial statements for the financial year ended 30 June 2024
  6. To receive the Report of the Executive Chair of Wine Communicators of Australia Ltd
  7. Members questions on notice
  8. To appoint a returning officer for the election of Directors of the Board
  9. To elect Directors of the Board nominated to fill vacancies in accordance with Clause 11.4 and 12.1 of the Constitution and By-Law 5.2 of Wine Communicators of Australia Ltd.

Next Annual General Meeting: November 2025. Date and time to be advised as per rules.

Election of New Directors of the Board

Those members wishing to submit a proxy, or a question on notice for the AGM, must be financial members as at 20th November 2024, and must have their duly completed proxy or question submitted to the address below by close of business on Friday 15th November 2024.  Download the WCA Proxy Form here. 

In accordance with the constitution of the WCA, 2 current Directors will retire due to the conclusion of their current two (2) year terms. Retiring members are eligible to re-nominate for a further two (2) year term.

The retiring directors are:

  • Lynda Schenk
  • Alex Gibbs

At the same time, a number of current directors who have filled a casual vacancy since the last AGM will also be required to be re-elected. These Directors that have filled casual vacancies and seeking re-election are:

  • Katherine Brown
  • Kate Hardy
  • Andrew Shedden

We have also received the resignation for one current director who will step down from their roles as at the AGM on 20th November 2024:

  • Sandy Hathaway

If there are members of the WCA who would seek election as a director of the WCA, see the pathway below:

  • As per the 5 current directors listed above seeking re-election, any member seeking election to the board can complete the Nomination Form (download here Call-For-Directors-Nominations-2024) and return to exec@winecommunicators.com.au. There are 6 positions to be filled, and an election will be held at the AGM if there are more than 6 nominations.
  • Nomination forms must be received by 5.00pm AEDT on Tuesday 12th November 2024.
